Dragnet Solutions Limited - Our client, a leading real estate company with developments across the continent and a focus on affordable housing and property for everyone, is currently recruiting to fill the position below:
Job Title: Compliance & Company Secretary
Location: Lagos, Nigeria
Functions & Responsibilities
- Liaising with the Directors and Shareholders of the Company and its subsidiaries to plan meetings of the Company and its subsidiaries. These include meetings of the Board of Directors and General Meetings
- Preparing agendas for the Meetings and sending out requisite Notices to all Directors and Shareholders (as applicable)
- Confirming that a quorum is present at the start of all meetings
- Ensuring that the Meetings are run effectively and in accordance with the provisions of the Constitute documents of the Company and its subsidiaries
- Taking Minutes of the Meetings and ensuring timely circulation of the draft Minutes as well as Matters Arising There from
- Ensuring that Minutes are signed by the Chairman of the Board of Directors once they have been approved
- Ensuring up-to-date contact details (i.e., names, addresses and telephone numbers) for the Directors and shareholders of the Company
- Liaising with the Company’s external solicitors to ensure that appropriate statutory filings are completed as due at the Corporate Affairs Commission, Abuja
- Maintaining a register of shareholders of the Company and its subsidiaries
- Ensuring that Minute Books are maintained and kept up to date
- Provide legal advice, draft, review and negotiate legal documents
- Researching general legal issues affecting the company's business operations and provisions of legal opinions
- Work closely with business units and senior management in providing hands-on support in the area of legal and regulatory advisory services; and
- Any other duties as may be assigned by Line Manager
Compliance:
- Supporting Group compliance in monitoring and ensuring compliance with Nigerian and Mauritian regulatory requirements pertaining to companies and Funds, as well as liaising with Nigerian regulators
Professional Requirements
Qualifications:
- LL, B: BL
- A recognized professional certification will be an added advantage
Minimum Experience:
- 7 to 8 years post call with preferably 4/5 years relevant experience in a well-structured international real estate/construction/financial service organization or nominees/company secretarial practice of mid to large-sized law firm
Skills & Competence Requirements:
Required Knowledge, Skills, and Abilities:
- Knowing of Company and Allied Matters Act
- Knowledge of Corporate Governance Code, SEC Rules, and other Compliance Regulations
- Ability to plan and work strategically, proactively, and independently
- Proficient writing skills and ability to understand deliberations for articulations in minutes and reports
- Ability to multitask, work with minimal supervision
- Effective use of Microsoft Office
- Excellent communication and administrative skills
- The ability to prioritize a heavy workload and deal with the pressure thus creates
- Knowledge of regulatory compliance and corporate governance
